Limitation of Liability
Important Legal Notice
EcoSync's total liability for any claims arising from your use of our service is limited to the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

Governing Law & Jurisdiction
Applicable Law
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.
International Users
Users outside the United States acknowledge that these Terms are governed by U.S. law and agree to submit to the jurisdiction of U.S. courts.
Local laws may provide additional protections that supersede these terms where required by applicable law.

Our Commitment
We implement industry-standard security measures as outlined in our Privacy Policy. Data is protected with TLS in transit. Sensitive secrets (such as TOTP seeds, SSO client secrets, and cloud credentials) use AES-256 field-level encryption at rest — this does not mean the entire database is encrypted end-to-end.

Changes to These Terms
Notification Process
• We will notify you at least 30 days before any material changes take effect
• Notifications will be sent via email and displayed in your dashboard
• Continued use of the service constitutes acceptance of updated terms
• You may terminate your account if you disagree with changes
Additional Legal Provisions
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms will remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the service, constitute the entire agreement between you and EcoSync.
Assignment & Transfer
We may assign or transfer these Terms and our rights and obligations without your consent. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
Force Majeure
Unforeseeable Circumstances
Neither party shall be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, or other causes beyond the reasonable control of such party.
